Legal assistance in an investment transaction in a company leader in communication and marketing services.

The Firm provided legal assistance to the member of a company operating in communication and marketing services within an investment transaction envisaging the acquisition by third parties of membership interests in the corporate capital of the company.

In particular, the Firm supported the client in structuring the transaction as well as in the drafting and negotiation of all the agreements governing the investment, herein included the framework agreement containing, amongst others, detailed rules governing the exercise of option rights, the intervention of third-party investors, the roles of directors and key-managers, as well as R&Ws with relevant indemnification obligations.

Assistance has also been granted in the execution of the transaction and in the negotiation of agreements with the new members of the company, concerning, amongst others, the corporate governance of the company, the rules governing the transfer of membership interests as well as certain option rights occurring specific circumstances.
