The Firm assisted the shareholders of a group operating worldwide in the sector of the manufacturing and marketing of stone and resin chemical products, aimed at defining the new shareholder’s map, through a leveraged buy-out transaction and following merger pursuant article 2501-bis of the Italian Civil Code.

The Firm provided assistance in drafting and negotiating the framework agreement to rule the transaction above and, specifically, the sale and purchase of the shares, the completion of the preliminary capital and corporate transactions, the relevant representations and warranties and indemnity, as well as the mutual undertakings of the parties concerning industrial and commercial cooperation.
