Merger aimed at the reorganization of an international group

Legal and tax assistance in the completion of a merger amongst Italian entities member of a multinational group.

The Firm provided assistance in favor of a multinational group, active in the chemical industry, in the completion of a wide reorganization procedure, to comply with certain obligations undertaken by the same group towards a financial institution.

In particular, the Firm assisted the holding company and three of the Italian industrial entities of the group in the execution of a merger through which the holding company and three Italian industrial entities have been consolidated in a single industrial company.

By virtue of such transaction, the group has completed the consolidation of the Italian industrial companies into a single Italian entity having, among others, the role of holding company controlling as well the foreign subsidiaries.
