Supply agreement and licensing

Legal assistance in the definition and negotiation of a supply agreement for electric meters and definition of other connected agreements.

The Firm provided legal assistance to a multinational company operating in the energy business for the drafting and negotiation of a framework agreement for the supply of electric meters and similar components having a value of around 15 million Euros in favour of a municipality company leader in the electricity distribution market.

The agreement includes, inter alia, provisions for the granting of a license on certain intellectual property rights developed by the client company and concerning certain software running with the supplied products.

Within the above transaction, the Firm also granted assistance in the definition and negotiation of agreements with other companies involved in the designing and production of the same products, among which an agreement for the incorporation and regulation of a joint venture company, as well as an agreement for the procurement of technological components.
